The Cabinet of Ministers' new decision GIVEN

The charters of the closed joint-stock companies "Regional Water Melioration" and "Water Supply of Large Cities" subordinate to the Azerbaijan State Water Resources Agency have been approved.

According to Medianews.az, the Cabinet of Ministers has made a decision in this regard.

Thus, the "Regional Water Melioration" Closed Joint-Stock Company has been reorganized by transformation based on the Decree No. 600 dated February 20, 2026, of the President of the Azerbaijan Republic "On the reorganization of the public legal entities 'Regional Water Melioration Service' and 'Unified Water Supply Service of Large Cities' subordinate to the Azerbaijan State Water Resources Agency," and is a public legal entity subordinate to the Azerbaijan State Water Resources Agency called "Regional Water Melioration Service."

The Company is the legal successor of the public legal entity "Regional Water Melioration Service," and the rights, obligations, and assets of that public legal entity have been transferred to the Company. The Company's charter capital amounts to 5,826,007,294 (five billion eight hundred twenty-six million seven thousand two hundred ninety-four) manat, consisting of shares with a nominal value, comprising 2,913,003,647 ordinary, uncertificated registered shares with a nominal value of 2 manat each. All shares of the Company belong to the state.

The Supervisory Board consists of 5 (five) members, including the chairman. The composition of the Supervisory Board must include 1 (one) representative from the Ministry of Finance of the Azerbaijan Republic. The chairman of the Supervisory Board is appointed and dismissed by the Agency upon coordination with the President of the Azerbaijan Republic. Other members of the Supervisory Board are appointed and dismissed by the Agency. The current management of the Company’s activities is carried out by the Executive Director, who is appointed and dismissed by the Supervisory Board. The Executive Director is responsible to the General Meeting as well as the Supervisory Board for his activities. The Executive Director has 3 (three) deputies who are appointed and dismissed by the Supervisory Board.

The "Water Supply of Large Cities" Closed Joint-Stock Company has been reorganized by transformation based on the Decree No. 600 dated February 20, 2026, of the President of the Azerbaijan Republic "On the reorganization of the public legal entities 'Regional Water Melioration Service' and 'Unified Water Supply Service of Large Cities' subordinate to the Azerbaijan State Water Resources Agency," and is a public legal entity subordinate to the Azerbaijan State Water Resources Agency called "Unified Water Supply Service of Large Cities."

The Company is the legal successor of the public legal entity "Unified Water Supply Service of Large Cities," and the rights, obligations, and assets of that public legal entity have been transferred to the Company. The Company is a state-owned commercial legal entity providing services for the supply of water to consumers in the cities of Baku, Sumgait, Ganja, Mingachevir, Nakhchivan, and Shirvan for household (economic), industrial, and other purposes, as well as for the processing and discharge of rain and wastewater. The Company's charter capital amounts to 2,400,427,052 (two billion four hundred million four hundred twenty-seven thousand fifty-two) manat, consisting of shares with a nominal value, comprising 1,200,213,526 ordinary, uncertificated registered shares with a nominal value of 2 manat each. All shares of the Company belong to the state.
